SDR Ltd advised the listed Swedish fastener specialist company, Bufab, on the acquisition of a leading multi-state independent fastener distributor, based in Los Angeles.  Sales revenue of ABS at the time of acquisition were $US60 million.

ACQUISITION OF NEUSEELANDHAUS GMBH BY MANUKA HEALTH LTD

SDR advised the owner of Neuseelandhaus GmbH, the largest European importer and distributor of New Zealand manuka honey products in the sale of the company to Manuka Health Ltd, which in turn was sold on the same day by Pacific Equity Partners to Hong Leong, a Malaysian conglomerate.  The value of the transaction was double-digit million Euro.

ACQUISITION OF MONTROSE FASTENERS LTD BY BUFAB AB

SDR advised Bufab on a follow-up acquisition of an OEM fastener distributor in the UK, following the earlier successful Apex Fasteners transaction. The transaction settled for an undisclosed sum.

ACQUISITION OF INFINITY FASTENERS BY KELLER & KALMBACH

SDR advised Keller & Kalmbach on their first investment in the USA, acquiring a five – site stainless steel supplier with a focus on the water industry. The transaction closed for an undisclosed sum.

ACQUISITION OF APEX FASTENERS BY BUFAB AB

SDR indentified Apex Fasteners, the largest independent stainless steel fastener distributor in the UK, as a target for acquisition for Bufab AB, and advised on the transaction which closed in November 2015.

ACQUISITION OF ARVID NEILSON AB BY WUERTH

Denmark, March 2008
SDR identified and advised on the purchase of one of Scandinavia’s largest independent fastener companies from the Arvid Neilson Trust. The company was founded in Denmark, but had its largest hub in Sweden and a manufacturing plant in Norway. The turnover of the company upon sale was around EUR 100 million.

ACQUISITION OF MARINE FASTENERS BY WUERTH

SDR identified and advised on the purchase of one of the largest US stainless steel fastener suppliers. The turnover of the company at sale was around US$ 36 million.

ACQUISITION OF NORDISKA BULT BY WUERTH

SDR identified and managed the acquisition process of one of Sweden’s significant suppliers of industrials fasteners, Nordiska Bult, to Wuerth. The target company based in Goteburg was acquired in December 2006 for an undisclosed sum, following 6 months of negotiation.

ACQUISITION OF JAMES GLEN LTD BY WUERTH

SDR managed the rapid acquisition of James Glen Ltd – Australia’s foremost stainless steel fastener business – in January to February 2006. The company had a turnover of AU$ 25 million at the time of sale.

ACQUISITION OF SOW DIESEL BY WUERTH

SDR identified and managed the acquisition of this new branch of Wuerth’s industrial supplier network. SOW Diesel was acquired out of private ownership and the erstwhile management has remained in place.

ACQUISITION OF THOMAS WARBURTON PTY LTD BY WUERTH

SDR supported Wuerth during the acquisition process of TWL in June 2003 as it did with the EDL transaction in 2001. The annual turnover of TWL on purchase was AU$ 25 million.

ACQUISITION OF EDL FASTENERS GROUP BY WUERTH

Wuerth acquired EDL, a local NZ and Australian distributor, on 5 January 2001. Company turnover for the group amounted to NZ$ 30 million at the time of purchase.

ACQUISITION OF DUNN SON AND STONE PTY LTD BY AGRIQUALITY LTD

SDR identified DSS as an appropriate target for the New Zealand State-Owned Enterprise in its expansion into Australia, and managed the lengthy acquisition process. AgriQuality is New Zealand’s largest food laboratory, and auditing company and the DSS acquistion gave it an import bridgehead into Australia. The transaction was completed in October 2003 for an undisclosed sum.

In May 2003 Gribbles Group bought out Enviro Health Laboratory Ltd for an undisclosed sum. SDR facilitated the transaction.

SDR initiated the purchase of E-Lab. E-Lab is specialised in testing of water, fertilizers, and plant and animal products. SDR sourced the laboratory, which had an annual turnover of serveral million dollars, as a potential target for Gribbles Group.

With assistance of SDR Gribbles took over Alpha Scientific in March 2003. The laboratory has worked mainly in veterinary pathology and had a turnover of an estimated AU$ 10 million at the time of purchase.

GRIBBLES ACQUISITION OF AGRIQUALITY’S VETERINARY HEALTH LABORATORIES

SDR brokered the transaction between the New Zealand State-Owned Enterprise, AgriQuality Ltd, and Gribbles, the Australian listed pathology company, which saw the for former state laboratories in Auckland, Hamilton, Palmerston North and Christchurch, pass to the Gribbles Group.

SILLIKER ACQUISITION OF AMDEL SYDNEY MICROBIOLOGICAL LABS

SDR assisted Silliker in the acquisition of Amdel Australia’s Sydney food labs. Negotiations commenced in September 2000 and the transaction concluded on 15 May 2001. SDR also assisted Silliker in the take-out of Silliker’s minority shareholders, Safe Food NSW, in its Sydney laboratory company, Silliker Microtech. This transaction was completed on 1 May 2001 for an undisclosed sum.

ACQUISITION OF ALL DOOR SERVICES LTD BY ASSA ABLOY ENTERANCE SYSTEMS NZ LTD

SDR identified and advised AAES NZ Ltd on the purchase of All Door Systems Ltd, New Zealand’s largest independent automatic door service company from private shareholders. The purchase was completed for an undisclosed sum.

SDR assisted in the completion of the negotiations of the purchase of one of northern Germany’s premier automatic door and gate operator businesses. The business was gradually integrated into the Ditec Group of companies. The transaction was completed in March 2010 for an undisclosed sum.

SDR identified and advised on the purchase of NZ’s largest automatic door service company, based in Wellington but with operations also in Auckland and Christchurch. This privately owned company was integrated into the Besam service group in New Zealand. The transaction was completed in March 2009 for an undisclosed sum.

ACQUISITION OF THE INTERLOCK GROUP BY ASSA ABLOY AB

SDR assisted the international corporate, Assa Abloy, in their acquisition of Interlock, the leading New Zealand manufacturer of window and door hardware at the end of 2001 for NZ$ 100 million. The company had NZ$ 60 million sales at the time of purchase.

SDR assisted Eff-Eff in protracted negotiations on the purchase of Trimec Technology – Australia’s largest electromechanical lock manufacturer – for an undisclosed sum.

ACQUISITION OF ADVANTAGE DOORS LTD BY VESTNER GMBH

SDR identified the target and advised Vestner on the acquisition of Advantage Doors, one of the few remaining independent automatic door servicing companies in New Zealand. The acquisition gives Vestner a broader service capability and access to a wider set of technical skills for this cross-over market segment. The value of the transaction was not disclosed.

ACQUISITION OF NEW ZEALAND ENGINEERING SERVICES LTD BY VESTNER GMBH

SDR advised Vestner on the bolt-on acquisition of Auckland’s largest lift servicing company to add to their South Island business, originally centred on Pandect Ltd. This gave Vestner a nationwide lift service capability. The value of the transaction was not disclosed.

SDR advised on the acquisition of NZ’s largest vehicle testing company with a turnover over NZ$ 80 million from the Motor Trade Association. The value of the transaction was of the order of $NZ 60 million.
